SEC short-sale & securities lending rules: Court sends them back, but keeps them standing
The 5th Circuit Court of Appeals has weighed in on the SEC’s short-sale reporting (13F-2) and securities lending (10c-1a) rules. While the Court flagged a procedural gap - the SEC didn’t quantify the combined economic impact of adopting both rules together - it chose to remand the rules without vacating them. In short: the rules remain in place while the SEC revisits its analysis.
Challenges around statutory authority, the use of EDGAR vs. FINRA for 13F-2 reporting, and claims of impermissible extraterritorial reach were all rejected. Looking ahead, we expect the SEC to supplement its economic analysis, which could mean tweaks to thresholds, timelines, or scope.
Another compliance delay is likely, but for now, teams should proceed as though the rules stand — including preparing for the February 17th filing deadline for 13F-2.

EDGAR Next goes live September 15
The SEC’s new filing system, EDGAR Next, is set to go live in September - and every investment manager will need to be ready.
Designed to improve security and simplify access, EDGAR Next requires all filers to switch to new login.gov credentials by September 12 to avoid disruptions.
For FundApps clients, the transition is seamless: once you’ve set up your new credentials, simply store your API token in Filing Manager and continue filing with a single click via our direct SEC integration.

Japan revises FEFTA - new amendments, new obligations
Japan has amended its Foreign Exchange and Foreign Trade Act (FEFTA), introducing Type A and Type B investor categories and new compliance requirements. Notably, investors must now file a prior notification when crossing the 1% ownership threshold - a change that will significantly affect hedge funds in Hong Kong and mainland China.
